END USER TERMS & CONDITIONS FOR THE TECHUP TASTER COURSE

You are about to access a bespoke taster course (the “Course”) designed to provide a sample of materials from the full TechUPWomen programme. The Course was developed by the TechUP project which aims to train women in tech skills.

The content made available via the Course is owned, maintained and provided to you by the University of Durham (“us”, “we”, or “the University”) whose registered address is The Palatine Centre, Stockton Road, Durham, DH1 3LE United Kingdom.

By proceeding with gaining access to the Couse via including accessing or utilising any of the content therein you hereby agree to be legally bound by the following terms and conditions (the “Terms”). If you do not wish to accept and agree to be bound by these Terms, please do not use or access the Course. Doing so implies your express acceptance of these terms. Your use of the Course is at all times governed by the Terms as set out below, which should be read in conjunction with:

A. any details provided within the pages relating to the Course in regards to its content; and

B. any terms relating specifically to the content of the Course as detailed therein.

1 Accessing the Course and Restrictions on Use

1.1 We reserve the right to update or amend these Terms at any time, and therefore in continuing use of the Course and any content or service therein following any such change, you shall be deemed to be granting your acceptance of such change. It is your responsibility at all times to check the Terms regularly to ensure you are aware of any such change. We reserve the right at all times to terminate your access to any or all of the content provided within the Course at any time, without notice, for any reason, including without limitation, breach of these Terms.

1.2 The Course and its contents (including without limitation the Course design, text, graphics and all software and source codes connected with the Course and its contents) shall at all times remain the property of, and copyright to the University, and are protected by copyright law.

1.3 You may not:

1.3.1 copy, reproduce or create derivative works from the Course;

1.3.2 provide the Course to any a third party, without the express written permission of the University;

1.3.3 sublicense, rent, sell or lease any portion of the Course; nor

1.3.4 use the Course in any manner not authorised by these terms.

1.4 The Course is protected by copyright, trademarks, patents and other intellectual property rights and laws. In accessing the Course you agree that you will access the contents solely for your personal, non-commercial use. Except for your downloading, copying and/or printing of pages of the Course for your personal use, none of the content may be downloaded, copied, reproduced, transmitted, stored, sold or distributed.

1.5 You hereby acknowledge that the Course is designed to give a taster of the full TechUP course and will not lead to any particular qualification. No guarantees are given as to the learning or outcome to be gained from the Course. The Course may subsequently be substantially modified or withdrawn at the sole discretion of the University.

1.6 Your use of the Course is at your sole discretion and risk. You accept that the Course is provided to you "as is" without any warranty, and the University expressly disclaims any and all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose or error free operation. Where links are provided to external websites these are provided solely as a convenience to you. The University has not reviewed all of these external websites, does not control the external websites and is not responsible for their content. If you decide to access any of the external websites, you do so entirely at your own risk.

1.7 The content of the Course is intended for information purposes only and should not be considered to constitute any form of advice or recommendation upon which specific decisions should be made. The University has taken steps to ensure the materials contained on its Course are current and accurate, but to the fullest extent permitted by law the University hereby excludes any warranty, whether express or implied, by statute at common law or otherwise, relating to the Course and the material contained on the Course. In particular (but without limitation of the above), the University gives no warranties as to quality, accuracy, timeliness, completeness or fitness for a particular purpose of the Course or of the material contained in it. The University shall not be responsible for any use you may make of any information contained on the Course, how such information may be interpreted or any reliance that may be made on the same. The University provides no guarantee that the information contained herein is fit for any particular purpose.

1.8 To the fullest extent permitted by law, the University shall not be liable for any claims, costs, penalties, loss (whether direct, indirect or consequential and whether economic or special loss of any nature), damages or expenses arising from the use or from the inability to use the Course. The University does not accept liability from reliance on information or advice contained on the Course or from any unauthorised access or alteration to the Course by a third party.

1.9 Any information you may submit to the Course, other than personal data that is covered by the University’s Privacy Policy, will be treated as non-confidential and the University shall be entitled to reproduce, distribute and communicate that information to others without restriction and without obligation. By submitting information to the Course, you warrant that such information:

1.9.1 is your own original work and that you have the right to make it available the University;

1.9.2 is not defamatory; and

1.9.3 does not infringe any law.

1.10 By submitting any information to the Course, you hereby agree to indemnify the University against all liabilities, costs and damages (including legal expenses) that may be incurred by the University as a consequence of any breach of the warranties expressed above and you agree to waive any moral rights to your contribution.

1.11 The University, its representatives, employees, officers and agents shall not be liable for any loss or damages or expenses of any kind including without limitation compensatory, direct, indirect or consequential damages, loss of data, income or profit, loss of or damage to property or claims by third parties howsoever arising (save for death or injury caused by the University's negligence or that of its representatives, employees, officers and agents) in connection with the copying or use of any information or material contained in or referred to on the Course or otherwise from the use of or participation on the Course.

1.12 You will have access to the course for 180 days. The University reserves the right to withdraw the Course at any time and without prior warning. The University will endeavour to advise users of the Course in advance of any such withdrawal, whether such withdrawal, but is under no obligation to do so.

1.13 Durham University, University of Durham and the University of Durham logo are either trade marks of the University and therefore the same may not be reproduced without our prior written consent. Other organisation and company names referred to on this Course are the trade marks of their respective owners as indicated.

2 Data Protection and Privacy Policy

2.1 Where you provide us with any personal information from which we can identify you as a living individual (whether by taking that information by itself or when using it in conjunction with other information which we hold or are likely to hold) we shall process such information only in accordance with the provisions of the Data Protection Act 2018.

2.2 We will not collect any personal information about you, except where it is specifically and knowingly provided by you, for example when you register as a user of the Course or request information or provide us with feedback on the Course. We do not sell or share any information about you as an individual user of this Course unless you agree to us doing so.

2.3 Any personal data you submit to the Course will be used according to these principles:

2.3.1 Your data will be stored securely on the server hosting this Course;

2.3.2 We will never sell or transmit your data to any third party, unless required to do so by

law;

2.3.3 We won't collect personal information about you without your knowledge.

3 General

3.1 These Terms supersede all prior representations by us or any of our employees and override any other terms and conditions stipulated or incorporated or referred to by you

in any negotiations, and these Terms are the only terms and conditions upon which we agree to perform the Contract, unless otherwise expressly agreed in writing by us.

3.2 No modification or alteration of the Contract shall be enforceable, save as otherwise provided in these terms and conditions, unless agreed in writing by us.

3.3 No waiver or delay on the part of the University to exercise any right or remedy available to it in these Terms or otherwise shall operate as a waiver of that or any other right or remedy nor shall any partial exercise preclude any other further exercise of that or any other right or remedy.

3.4 Any waiver by us of any breach by you is not a waiver of any subsequent breach.

3.5 These Terms do not create, confer or purport to confer any benefit or right enforceable by any person not a party to it by virtue of the Contracts (Rights of Third Parties) Act 1999.

3.6 Should any provision of the Contract be found by any competent authority to be invalid, illegal, unenforceable or unreasonable, it shall be severed from the remainder of the Contract which shall continue in full force and effect.

3.7 These Terms are personal to you and you shall not be entitled to assign or transfer in whole or part the benefit and/or the burden thereof without our prior written consent.

3.8 All notices to be given by either Party to the other under these Terms shall be validly served only in writing and delivered personally or sent by registered post requiring signature of the recipient on delivery.

3.9 These Terms shall not constitute and shall not be deemed to constitute any relationship of partnership or agency between the University and you.

3.10 These Terms shall be governed by and construed in all respects in accordance with the laws of England and you hereby submit to the exclusive jurisdiction of the English courts. Where you use the Course outside of the United Kingdom you agree to comply with all applicable laws regarding the transmission of technical data exported from the United Kingdom or the country in which you reside (if different) and with all local laws and rules regarding acceptable use of and conduct on the Internet.
